Terms and Conditions

With respect to your (“You”) material submissions for The Top 100 Dealer Awards (hereinafter referred to as the "Images”), The National Association of Music Merchants (“NAMM”) requests the following rights and covenants from You in connection with making use of any photos or other materials that You have provided or may provide to NAMM.  Accordingly, by providing any material(s) or content to NAMM in connection with the Awards, You hereby agree to grant to NAMM, those acting under its permission and upon its authority, and those for whom NAMM is acting, an non-exclusive worldwide license to use the Images through the exercise of marketing future Top 100 Dealer Events, NAMM Shows and NAMM association activity, any and all rights in the Images, including, but not limited to, the right to reproduce the Images, including on the world wide web and intranets, the right to prepare derivative works based on the Images, the right to transmit, disseminate, distribute copies or phonorecords of the Images to the public by sale or other transfer of ownership or by rental, lease, sublicense, or lending in any channel of distribution, including, without limitation, by electronic publishing, the right to perform the Images publicly, and the right to display the Images and market its content.  

You hereby waive any right that You may have to inspect and/or approve NAMM’s use or exploitation of the Images.  NAMM shall have exclusive, full, and final editorial control over the Images and all of its content.  Moreover, nothing herein shall be construed as obligating NAMM to use or display the Images in any manner.  Unless otherwise agreed in writing, You also acknowledge and agree that You will receive no compensation in any form for the development or submission of the Work, any use by NAMM, or for any other service You may provide in connection with the Images.  You also acknowledge and agree that NAMM may, and has the right to, directly or indirectly, sell, include, insert, or place advertising, marketing, promotional, or other materials relating to or associated with its or third party products, services, or the like (whether from NAMM or from third parties) in proximity to the Images in connection with NAMM's exercise of the rights granted to it herein.  You expressly agree not to bring any suit, claim, or other action against NAMM arising out of its use of the Images.

With respect to the images, You acknowledge and agree that You are solely responsible for rights clearance and accuracy, and You hereby represent and warrant that You own all rights, title, and interest in the Images or have the full right, power and authority to grant the rights granted herein (including any right of publicity), free and clear of any claims, liens, encumbrances, or violations of any other agreement.  You also represent and warrant that You are not aware of any investigation, claim, or litigation involving the Images; the Images does not violate or infringe the rights of any other party or the laws or regulations of any government or judicial authority; the Images is accurate to the best of your knowledge; and the Imags does not include any libelous, defamatory, obscene, or unlawful material under the laws of the United States.  

Unless terminated earlier as provided herein, the term of this Agreement shall be for the duration of the term of copyright protection for the Work in the United States.  Notwithstanding the foregoing, this Agreement may be terminated at any time and for any reason by NAMM upon 10 days prior written notice.
